User Agreement

1. Who we are
Tesor is a crypto wallet with a built-in messenger. It is operated by Newads Technology Limited, a private company limited by shares incorporated in Hong Kong under company number 78542896, with its registered office at Flat/Rm A, 12/F, ZJ 300, 300 Lockhart Road, Wan Chai, Hong Kong (“Tesor”, “we”, “us”).
This agreement is the contract between you and us. By creating an account or using Tesor you accept it, together with our Privacy Policy and Risk Warning. If you do not agree, do not use Tesor.
If we change this agreement in a way that matters, we will tell you inside the app at least 14 days before the change takes effect. If you keep using Tesor after that date, the new version applies to you.
2. Risks you accept
Crypto assets are volatile. Their price can fall sharply and quickly, and you can lose everything you put in. Transfers on a blockchain cannot be reversed.
Tesor is not a bank. Your balance is not a bank deposit and is not covered by any deposit protection or investor compensation scheme. Nothing in Tesor is investment, legal or tax advice. Read the Risk Warning before you use the service.
3. Who can use Tesor
You must be at least 18 years old, or the age of majority where you live if that is higher. You must not be a resident of, or located in, a place where using Tesor is against the law or where we do not offer the service. Tesor is not available in any country or territory under comprehensive sanctions imposed by the United Nations, the United States, the European Union, the United Kingdom or Hong Kong, including Cuba, Iran, North Korea and the Crimea, Donetsk and Luhansk regions, or to anyone named on their sanctions lists.
You create your account with your email address. You may hold one personal account and you are responsible for everything done through it. Keep the information on your account accurate, keep your phone and your PIN to yourself, and tell us straight away if you think someone else has got in.
We may ask you to confirm who you are or where your funds come from, and we may set limits on what an account can send, hold or withdraw until you do. This can include an identity document, proof of address and information on the source of your funds.
4. How we hold your crypto
Tesor is a custodial service. Crypto you deposit, buy or receive is held by us in wallets that we control, pooled with the assets of other users. Your balance in the app is our record of how much of each asset we hold for you.
The assets we hold for you remain yours. We do not lend, pledge or otherwise use them for our own purposes. They move only on your instruction, for example when you send, swap, withdraw or put them into Earn, or where the law or this agreement requires it.
You can ask to withdraw your balance to an outside address at any time. A withdrawal can be delayed or refused where the law requires it, where we need to finish a security or identity check, or where the network or a third party we rely on is unavailable.
5. What you can do in Tesor
Transfers between accounts. A transfer to another Tesor user is recorded in our ledger, arrives at once and is final. Check the recipient before you confirm.
Deposits and withdrawals. These happen on a public blockchain. Their speed and cost depend on the network. If you send to the wrong address or over the wrong network, we will usually not be able to recover the funds.
Swaps. We show you the rate and the amount you will receive before you confirm. Once you confirm, the swap is final.
Buying with a card or bank transfer. Purchases are processed by third-party payment providers under their own terms. We do not accept or hold money in ordinary currencies, and a dispute about a card or bank payment is handled by the provider that took it.
Earn. When you put an asset into Earn, we place it in a third-party lending pool on your instruction. The rate is variable and is not guaranteed. A pool can run short of liquidity and delay a withdrawal, and the smart contracts it runs on carry their own risk.
Messenger, feed and shops. You can message other users, join groups, make calls, publish posts and pay invoices that merchants send you. A merchant, not Tesor, is responsible for what it sells.
6. Fees
We do not charge a fee for sending USTT between Tesor accounts. Blockchain networks charge their own fee, which goes to the network and not to us. Any other fee is shown on screen before you confirm.
7. What you must not do
Do not use Tesor to break the law, to launder money, to finance terrorism or to get around sanctions. Do not defraud, threaten, harass or impersonate anyone, and do not send or publish content that is illegal.
Do not send spam, run bots or scripts against the service, try to break or overload it, exploit a bug instead of reporting it, hide where you are in order to get around a restriction, or sell or lend your account to anyone.
8. What we may do
We may suspend an account, hold a transfer or limit a feature where the law requires it, where we reasonably suspect fraud or a breach of this agreement, or where it is needed to protect you, other users or the service. We will tell you why unless the law prevents it.
We may correct a balance that was credited by mistake, change or withdraw a feature, and keep records of your account and transactions for as long as the law requires.
9. Your content
What you write and upload stays yours. You give us permission to store it, deliver it to the people you send it to and show it where you choose to publish it. We may remove content or report it to the authorities where it is illegal or breaks this agreement.
10. Our liability
We provide Tesor with reasonable care, but we do not promise that it will always be available or free of errors. To the extent the law allows, we are not liable for market losses, for the acts of third-party providers or blockchain networks, or for losses caused by someone using your phone or PIN.
Where we are liable to you, our total liability for any claim is limited to the value of the assets held in your account at the time the claim arose. A claim must be brought within one year of the event it is about. Nothing in this agreement limits liability that cannot be limited by law.
11. Closing your account
You can close your account from the app or by writing to support. Withdraw what you are holding first. We may close an account with notice, or without notice where the law requires it or the account is being used in breach of this agreement; in that case we will return what we hold for you unless the law prevents it.
12. Complaints, law and courts
If something goes wrong, write to support@tesor.tech and we will try to put it right. To make a formal complaint, write to legal@tesor.tech with your @username, what happened and what you would like us to do. We will confirm that we have received it within 5 working days and give you our answer within 30 days. If we need longer, we will tell you why.
This agreement is governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have jurisdiction over any dispute. If you are a consumer, this does not take away rights that the law of your own country gives you and that cannot be waived.
